TERMS OF USE

Acceptance of Terms

These Mobile App Terms of Use (“Terms”) govern access to and use of KORE Solutions, Inc.’s mobile applications and related services (collectively, the “App”). By clicking “I Agree,” creating an account, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not access or use the App.

KORE may require renewed acceptance after material changes, deployment changes, account changes, App functionality changes, or changes to data collection or permissions. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

Internal Business Use Only

The App is intended solely for authorized internal business and professional use by KORE personnel, contractors, and other approved internal users. The App is not intended for general consumer use, public commercial use, or use by children.

You are responsible for using the App only for authorized internal business purposes and in compliance with applicable law, KORE policies, confidentiality obligations, security requirements, safety requirements, and instructions from KORE administrators.

Order of Precedence; No Expansion of KORE Obligations

If the App is provided or referenced under a separate written agreement, master services agreement, purchase order, subscription agreement, license agreement, statement of work, employment policy, contractor agreement, or other agreement accepted by KORE (“Governing Agreement”), the Governing Agreement controls to the extent of any direct conflict with these Terms.

These Terms supplement, and do not expand, KORE’s obligations under any Governing Agreement. No purchase order, customer flow-down, project specification, handbook, app-store listing, privacy policy, support practice, product description, demo, insurance requirement, or course of performance expands KORE’s liability, creates a warranty, or modifies these Terms unless separately signed or expressly accepted by an authorized KORE representative.

Accounts and Access Credentials

You are responsible for maintaining the confidentiality of login credentials, devices, and activity conducted through your account. You must promptly notify KORE or an administrator of unauthorized access, suspected compromise, device loss, or security issues involving the App.

KORE may suspend, restrict, revoke, or terminate access where KORE reasonably believes access presents a security, operational, legal, compliance, privacy, misuse, or reputational risk, or where required by internal policy, administrator instruction, or a Governing Agreement.

License and Ownership

Subject to these Terms and any applicable Governing Agreement, KORE grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the App solely for authorized internal business purposes. KORE reserves all rights not expressly granted.

The App, including software, interfaces, workflows, designs, documentation, content, trademarks, and related intellectual property, is owned by KORE or its licensors and protected by applicable intellectual property and other laws.

Acceptable Use Restrictions

• Use the App only for authorized internal business purposes.
• Do not upload content that you do not have the right, permission, or authority to provide.
• Do not upload unnecessary sensitive personal information, confidential third-party information, trade secrets, regulated data, or personal information of others without authorization.
• Do not interfere with, disrupt, overload, reverse engineer, decompile, scrape, crawl, bypass security controls, or attempt unauthorized access.
• Do not transmit malware, malicious code, harmful content, or content that compromises privacy, security, confidentiality, safety, or legal compliance.

User Content; Photos; Metadata

The App may allow users to upload, store, modify, transmit, display, or otherwise process photos, notes, records, or other user-submitted content (“User Content”). You retain any rights you have in User Content, subject to the limited license below.

You represent and warrant that you have all rights, permissions, consents, notices, and authority necessary to submit User Content to the App and to allow KORE to process User Content as described in these Terms and the Privacy Policy.

You grant KORE a limited, non-exclusive, worldwide, royalty-free license to use, store, host, reproduce, modify as enabled by App functionality, display, transmit, process, disclose, and create technical derivatives of User Content solely as necessary to provide, operate, maintain, secure, support, troubleshoot, improve, and administer the App; comply with legal obligations; enforce rights; prevent misuse; and support applicable internal workflows.

Photos may contain embedded EXIF/GPS metadata, including date, time, device information, location information, thumbnails, file properties, and related metadata. KORE does not strip EXIF/GPS metadata from uploaded photos. You are responsible for reviewing photos before submission, avoiding unnecessary or excessive information, and obtaining any required rights, notices, consents, and authorizations.

Photo-Specific Data Risk Disclaimer

KORE does not guarantee that photos, modified photos, timestamps, EXIF/GPS metadata, file properties, thumbnails, previews, or associated records are complete, accurate, preserved, admissible, authentic, secure, unaltered, or suitable for evidentiary, safety, compliance, inspection, quality-control, payment, warranty, dispute, or legal purposes.

You must not rely on photos, modified photos, metadata, logs, or App records as the sole source of truth for operational, safety, legal, billing, warranty, compliance, project, or customer decisions. You are responsible for independent verification and for maintaining any separate records required by KORE policy, business needs, project documents, or applicable law.

Privacy

KORE’s collection, use, disclosure, retention, and protection of personal information is described in the Mobile App Privacy Policy. By using the App, you acknowledge that the Privacy Policy has been made available to you. Where consent or device permissions are required, KORE may request them separately.

Operational Data; OpenTelemetry; No Reliance

The App may include or display uploaded photos, modified photos, metadata, diagnostic information, OpenTelemetry data, operational records, status indicators, timestamps, session information, system outputs, or other data. Such information may be incomplete, delayed, inaccurate, unavailable, corrupted, or affected by user input, device conditions, network connectivity, third-party services, configuration, system limitations, or later changes.

The App is an internal business tool and is not a substitute for professional judgment, field verification, safety protocols, internal policies, applicable law, or separate business records.

Availability; Updates; Third-Party Services

KORE may modify, update, suspend, discontinue, or replace all or part of the App at any time. KORE does not guarantee that the App will be uninterrupted, error-free, secure, compatible with every device or operating system, or available at all times.

The App may depend on third-party platforms, app stores, device operating systems, networks, cloud services, diagnostics tools, OpenTelemetry components, or other third-party services. KORE is not responsible for third-party outages, acts, omissions, security controls, policies, or data practices.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND ALL CONTENT, DATA, OUTPUTS, INFORMATION, MATERIALS, AND SERVICES MADE AVAILABLE THROUGH THE APP ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

KORE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, RELIABILITY, DATA INTEGRITY, AND ERROR-FREE OPERATION.

Tiered Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOSS OF BUSINESS OPPORTUNITY; LOSS OF GOODWILL; LOSS, CORRUPTION, OR UNAVAILABILITY OF DATA; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM DELAY, DEVICE FAILURE, NETWORK FAILURE, SECURITY INCIDENTS, USER ERROR, USER CONTENT, PHOTOS, MODIFIED PHOTOS, METADATA, OPEN TELEMETRY DATA, THIRD-PARTY SERVICES, OR RELIANCE ON APP DATA.

For internal users, the App is provided solely as an internal business tool. To the maximum extent permitted by law, KORE shall have no liability to any individual internal user arising out of or relating to the App, except to the extent liability cannot be limited under applicable law. Any rights, remedies, or procedures relating to employment, contractor status, workplace use, discipline, reimbursement, safety, or internal operations are governed by applicable law and KORE’s written policies or agreements, not these Terms.

For any free, trial, beta, pilot, evaluation, testing, proof-of-concept, or non-fee use, KORE’s total aggregate liability shall not exceed USD $100, except to the extent prohibited by law. The existence of insurance, multiple users, multiple claims, multiple events, multiple forms of damage, or multiple legal theories shall not increase KORE’s liability cap.

User Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless KORE and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from claims, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, to the extent arising out of or relating to your misuse of the App, User Content, photos, metadata, violation of these Terms, violation of law or third-party rights, failure to obtain required rights or consents, negligence, willful misconduct, fraud, unauthorized activity, or security violation.

If you use the App as an employee or contractor, this indemnity applies only to the extent permitted by applicable law and applicable written agreements or policies.

Confidentiality; Security; Incident Reporting

The App may include confidential, proprietary, technical, operational, customer, or business information. You may not disclose or use such information except as authorized for permitted internal use of the App.

You must promptly report suspected vulnerabilities, unauthorized access, account compromise, device loss, or security incidents involving the App to security@kore.solutions or another designated KORE contact.

Suspension and Termination

KORE may suspend or terminate access if KORE reasonably determines that continued access may create security, operational, legal, regulatory, contractual, privacy, compliance, or reputational risk; if you violate these Terms; or if required by an administrator, internal policy, applicable law, or a Governing Agreement.

Governing Law; Venue

Unless a Governing Agreement provides otherwise, these Terms are governed by the laws of [Insert governing law jurisdiction], without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the App shall be brought exclusively in the courts located in [Insert exclusive venue], except where applicable law requires a different forum or where KORE seeks injunctive or equitable relief.

General Terms

These Terms do not create any partnership, joint venture, employment, fiduciary, or agency relationship. If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid or unenforceable provision will be interpreted to best accomplish its original purpose to the maximum extent permitted by law. KORE’s failure to enforce any provision is not a waiver.
